These Terms and Conditions govern your access to and use of the Kramaly enterprise platform, including our mobile applications (iOS and Android) and website. Please read these terms carefully before using our services.

Acceptance of Terms

By accessing or using the Kramaly platform, mobile applications (iOS and Android), or website (https://kramaly.com), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and VJPSUTRA PRIVATE LIMITED ("Company", "we", "us", or "our"). Your use of Kramaly services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Eligibility

Kramaly is an enterprise platform intended for use by businesses and their employees. To use Kramaly services, you must: • Be at least 18 years of age • Be an authorized employee or representative of an organization that has a valid subscription agreement with Kramaly • Have been granted access credentials by your employer organization • Have the legal capacity to enter into binding agreements No Public Registration: Kramaly does not allow public registration. User accounts are created and managed exclusively by employer organizations (tenant administrators). Enterprise Use Only: Kramaly is designed for enterprise workforce management, HRMS, attendance tracking, ERP operations, and related business purposes. Personal or non-business use is not permitted.

Account Access

Account Creation: Your employer organization creates and manages your user account. You do not have the ability to self-register for Kramaly services. Account Credentials: You are responsible for maintaining the confidentiality of your login credentials (username, password, biometric authentication). You must not share your credentials with others. Account Security: You agree to: • Use strong passwords and keep them secure • Notify your organization immediately if you suspect unauthorized access • Log out from shared or public devices • Not allow others to use your account Account Termination: Your employer organization controls your account access. Your account may be suspended or terminated by your organization at any time, including upon termination of employment.

Enterprise Use

Kramaly provides the following enterprise services: Workforce Management: • Employee attendance tracking • Time and attendance management • Geofencing and location-based verification • Face verification for attendance punches HRMS Operations: • Employee records management • Approval workflows • Leave and absence management • Organizational hierarchy ERP & Automation: • Expense management • Procurement workflows • Transaction processing • Enterprise automation AI-Powered Assistance: • Conversational AI assistants • HR policy guidance • Workflow assistance • Operational support All services are provided to your employer organization under a separate subscription agreement. Your use of these services is subject to your organization's policies and these Terms.

Acceptable Use

You agree to use Kramaly services only for lawful business purposes and in accordance with these Terms. Prohibited Activities: You must not: • Violate any applicable laws, regulations, or your organization's policies • Use the platform for any fraudulent, abusive, or illegal purpose • Submit false attendance records or manipulate location data • Impersonate another person or misrepresent your identity • Attempt to gain unauthorized access to the platform or other users' accounts • Reverse engineer, decompile, or disassemble the software • Use automated tools, bots, or scripts to access the platform • Interfere with or disrupt the platform's operation or security • Upload viruses, malware, or other harmful code • Harass, threaten, or abuse other users • Collect or harvest data from the platform without authorization • Use the platform to send spam or unsolicited communications Attendance Integrity: You agree to: • Submit accurate and truthful attendance records • Use face verification and location features honestly • Not attempt to circumvent geofencing or verification systems • Report any technical issues or errors promptly Consequences: Violation of these acceptable use terms may result in account suspension, termination, disciplinary action by your employer, or legal action.

Intellectual Property

Ownership: All content, features, functionality, software, designs, graphics, logos, and trademarks associated with Kramaly are the exclusive property of VJPSUTRA PRIVATE LIMITED or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Kramaly services solely for your organization's internal business purposes. Restrictions: You may not: • Copy, modify, distribute, or create derivative works from Kramaly software or content • Remove or alter any copyright, trademark, or proprietary notices • Use Kramaly branding, logos, or trademarks without written permission • Sell, rent, lease, sublicense, or transfer your access rights User Content: You retain ownership of data you submit to the platform (attendance records, photos, documents). By submitting content, you grant us a license to use, store, and process such content to provide and improve our services. Feedback: If you provide feedback, suggestions, or ideas about Kramaly, we may use such feedback without obligation or compensation to you.

AI Services Disclaimer

Kramaly may provide AI-powered assistants to help users with HR policies, attendance inquiries, workflow guidance, and operational tasks. Informational Purpose: AI-generated responses are provided for informational and assistance purposes only. AI responses may not always be accurate, complete, or up-to-date. No Professional Advice: AI assistants do not provide legal, financial, medical, or professional advice. Always verify critical information with your organization's policies, administrators, or qualified professionals. Third-Party Processing: AI responses are generated using third-party AI model providers. Your prompts and conversation context may be processed by these providers as described in our Privacy Policy. No Guarantees: We do not guarantee the accuracy, reliability, or completeness of AI-generated responses. You use AI services at your own risk. Human Oversight: Important decisions should always involve human judgment and verification. Do not rely solely on AI responses for critical business or employment decisions.

Data Privacy

Your use of Kramaly services is subject to our Privacy Policy, which explains how we collect, use, and protect your information. Key Points: • Your employer organization controls access to your data • We collect attendance records, location data, photos, and operational data • We may use AI providers to process conversational queries • We implement security measures to protect your information • You have certain rights regarding your personal data Please review our Privacy Policy at https://kramaly.com/privacy-policy for complete details. Organizational Control: Your employer organization (tenant administrator) has access to all data you submit through the platform and controls data retention and deletion policies.

Platform Availability

Service Availability: We strive to provide reliable and continuous access to Kramaly services. However, we do not guarantee uninterrupted or error-free operation. Maintenance & Downtime: We may perform scheduled maintenance, updates, or emergency repairs that may temporarily interrupt service availability. We will attempt to provide advance notice when possible. No Warranty: Kramaly services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of Kramaly services at any time without prior notice.

Limitation of Liability

Disclaimer of Damages: To the maximum extent permitted by applicable law, VJPSUTRA PRIVATE LIMITED, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: • Loss of profits, revenue, or business opportunities • Loss of data or information • Business interruption • Personal injury or property damage • Any other pecuniary loss arising from or related to your use of, or inability to use, Kramaly services, even if we have been advised of the possibility of such damages. Maximum Liability: In no event shall our total liability to you for all claims arising from or related to Kramaly services exceed the amount paid by your organization for Kramaly services in the twelve (12) months preceding the claim. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Essential Purpose: The limitations of liability set forth in these Terms are fundamental elements of the agreement between you and VJPSUTRA PRIVATE LIMITED. Kramaly services would not be provided without such limitations.

Indemnification

You agree to indemnify, defend, and hold harmless VJPSUTRA PRIVATE LIMITED, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to: • Your use or misuse of Kramaly services • Your violation of these Terms • Your violation of any applicable laws or regulations • Your violation of any third-party rights • Any false or fraudulent information you submit • Your negligence or willful misconduct This indemnification obligation shall survive termination of these Terms and your use of Kramaly services.

Termination

Termination by Organization: Your employer organization may suspend or terminate your access to Kramaly services at any time, for any reason, including termination of employment. Termination by Company: We reserve the right to suspend or terminate your access to Kramaly services if: • You violate these Terms • Your organization's subscription expires or is terminated • We are required to do so by law • Continued provision of services creates security or legal risks Effect of Termination: Upon termination: • Your access to Kramaly services will be immediately revoked • You must cease all use of the platform and mobile applications • Provisions of these Terms that by their nature should survive (including intellectual property, limitation of liability, and indemnification) shall continue to apply Data Retention: Data retention after termination is governed by our Privacy Policy and your organization's data retention policies.

Governing Law

Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Dispute Resolution: Any disputes arising from or related to these Terms or your use of Kramaly services shall be subject to the exclusive jurisdiction of the courts located in India. Legal Compliance: You agree to comply with all applicable local, state, national, and international laws and regulations in your use of Kramaly services. Export Controls: You agree not to export, re-export, or transfer Kramaly software or technology in violation of any applicable export control laws or regulations.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreement between your organization and VJPSUTRA PRIVATE LIMITED, constitute the entire agreement between you and us regarding your use of Kramaly services. These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, regarding the subject matter herein.

Amendments

We reserve the right to modify or update these Terms at any time at our sole discretion. Notification: We will notify you of material changes by: • Posting the updated Terms on our website and mobile applications • Updating the "Last Updated" date at the top of these Terms • Sending notice through the platform or to your registered email address (when appropriate) Acceptance: Continued use of Kramaly services after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of Kramaly services. Review Regularly: We encourage you to review these Terms periodically to stay informed of any updates.

These Terms and Conditions are designed to comply with applicable laws and regulations for enterprise software platforms and mobile application distribution on Apple App Store and Google Play Store. Your organization may have additional terms governing your use of Kramaly services under a separate subscription agreement.
